CONTRACT FOR THE SALE OF FINE ART
This Contract for the Sale of Fine Art (the "Contract") is entered into as of the Date indicated in form below, by and between:
Le Beau Travail (LBT)
And
Buyer [Indicated in form below]
RECITALS
WHEREAS, the Seller is an artist collective representing the artist [Artist's Name indicated in form below] (hereinafter referred to as "Artist"), and
WHEREAS, the Buyer desires to purchase a specific piece of fine art (hereinafter referred to as the "Artwork") from the Seller under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows:
Description of the Artwork
Title, Medium, Dimensions, & Artist indicated in form below
Purchase Price
The total purchase price for the Artwork is indicated in the form below (the "Purchase Price").
A non-refundable deposit of 50% of the Purchase Price [indicated in the form below] (the "Deposit"), is required upon signing this Contract.
The remaining balance is to be paid in full upon delivery of the Artwork.
Payment Terms
All payments shall be made in U.S. dollars.
Payments shall be made to the Seller at the address specified above, via electronic transfer to the account details provided by the Seller, or through the Seller’s website.
The Deposit is due upon the execution of this Contract.
The remaining balance is due in full upon delivery of the Artwork.
Forfeiture of Artwork and Payments
In the event the Buyer fails to pay the full Purchase Price within 90 days of the due date, the Buyer shall forfeit all rights to the Artwork.
The Buyer acknowledges and agrees that any payments made to the Seller, including the Deposit and any partial payments, are non-refundable and will be retained by the Seller as liquidated damages.
Upon forfeiture, the Seller shall retain the Artwork and may, at their sole discretion, sell or otherwise dispose of the Artwork without any obligation to the Buyer.
The Buyer agrees to forfeit any claim to the Artwork or any payments made in the event of non-payment as outlined above.
Cancellation Terms and Conditions
The Buyer has the right to cancel this Contract and receive a full refund of any payments made, including the Deposit, if the cancellation is made within 3 business days of signing this Contract. To cancel, the Buyer must provide written notice to the Seller within this period.
After 3 business days, the Contract is non-cancelable and the Deposit becomes non-refundable.
If the Buyer cancels the Contract within the 3 business day period, the Seller will refund all payments made by the Buyer within 14 business days of receiving the cancellation notice.
Cancellation requests must be submitted in writing and sent to the Seller’s address or email as specified in this Contract.
Beyond the 3 business day period, any failure by the Buyer to fulfill their financial obligations will result in forfeiture as outlined in Section 10 (Forfeiture of Artwork and Payments).
Delivery and Transfer of Title
The Artwork will be available for pickup or will be delivered to the Buyer’s delivery address at a Date agreed upon by both the Buyer and the Seller.
The title to the Artwork shall transfer to the Buyer upon full payment of the Purchase Price.
All costs associated with the delivery and handling of the Artwork shall be borne by the Buyer.
No Cancellation
This Contract is non-cancelable. The Buyer acknowledges that the Deposit is non-refundable and that the Buyer is obligated to pay the full Purchase Price as per the terms of this Contract.
In the event the Buyer fails to make any payment when due, the Seller reserves the right to retain the Deposit and pursue additional legal remedies to recover the remaining balance.
Representations and Warranties
The Seller represents and warrants that the Artwork is original and created by the Artist.
The Buyer acknowledges that the Artwork is purchased "as is" and that the Seller makes no other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.
Governing Law and Dispute Resolution
This Contract shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
Any disputes arising out of or in connection with this Contract shall be resolved through binding arbitration in Texas, in accordance with the rules of the American Arbitration Association.
Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, and representations, whether oral or written, with respect to the subject matter hereof.
Amendments
No modification, amendment, or waiver of any provision of this Contract shall be effective unless in writing and signed by both parties.
